On 5 November, autonomy-software firm Shield AI said it would acquire counter-drone radar maker Echodyne for a total of $5.3 billion, paying $4.8 billion at closing with up to $500 million more tied to performance targets. It is simultaneously raising $2.5 billion at a $28.8 billion valuation, more than double its roughly $12.7 billion mark in March 2026. The deal is cast as the company's first step into dual-use hardware it can sell beyond government.

Structure of the deal and the raise

The $2.5 billion comprises a $1 billion Series H co-led by Disruptive and Innovation X Capital, $1 billion of structured equity from Blackstone funds, and $500 million of debt from JPMorgan. The raise closes simultaneously with the deal and does not proceed if the acquisition falls through; closing is expected in early 2027. Shield AI has raised $5.4 billion in equity to date and has roughly doubled headcount in a year to about 2,300.

Echodyne, based in Kirkland, Washington, supplies compact radars for counter-drone and security systems used in more than 40 countries, with the US military among its customers. It is Shield AI's fifth acquisition and its second of 2026, after Aechelon Technology; more than half of the company's revenue is international and it expects to more than double revenue in the year to March 2027.

Dual-use ambitions and defence-tech consolidation

CEO Gary Steele is reported to have cited drone protection for events like the Super Bowl and FIFA as a commercial opportunity, describing the deal as the first major move into civilian markets for a company whose end users have so far been governments. Shield AI holds the Hivemind autonomy software, the V-BAT reconnaissance drone and the X-BAT vertical-takeoff autonomous fighter, which it said would make its first flight before year-end.

The deal is one case in a surge of defence-tech valuations, with Anduril put near $90 billion. It points to capital flowing into vertical integration of sensors and autonomy; Steele is reported to see the broad direction of defence spending as unchanged even with Democrats ascendant after the midterms, so consolidation proceeds while pricing in political shifts.
