The Department of War's Office of Strategic Capital (OSC) announced on 2 November a conditional loan commitment of up to $450 million to small-drone maker Neros of Torrance, California. Under Executive Order 14307, 'Unleashing American Drone Dominance', the financing supports domestic production from airframes down to motors, radios and batteries. The company says the deal gives the government an ownership stake; OSC's release is silent on equity.
Financing complete systems and components at home
According to the release, the financing is intended to 'support Neros' domestic manufacturing expansion and reduce reliance on foreign-made components', covering dual-use small UAS platforms, ground control systems, propulsion motors, radios, flight electronics, thermal sensors, flight stacks and batteries. Components made at the Torrance plant are to be supplied as NDAA-compliant parts to other US and allied drone makers. The commitment is conditional on 'satisfying various financial, legal, technical, investment, due diligence and other requirements' before financial close, the same structure as the up-to-$820 million commitment signed with PDW on 31 July.
OSC Director David A. Lorch said the investment 'will turbocharge Neros' ability to manufacture drones and components critical for the production of drone systems', and James R. Shanahan, senior managing director for investments, said that 'winning the drone industrial-base competition requires the United States to be able to manufacture complete systems at scale and at competitive prices for both military and non-military applications'. The reference to financing 'alongside additional private capital' indicates a design in which the loan is tied to the company's own fundraising.
A million drones a year and 'an ownership stake for the taxpayer'
By the company's account, the loan plus $165 million of its own equity makes a total project of $615 million, with a target of one million drones a year by 2028. Neros says it was building about 1,200 drones a week in August, aims for 10,000 a month by year-end, and in September won a Gauntlet II order for 14,000 drones worth more than $100 million; it reportedly raised $250 million at a $2.5 billion valuation in August. These are company claims, and the production figures have not been independently verified.
On equity, Defense Daily and DroneXL report the company describing a 'small' stake for OSC, and Neros' own website says the deal gives 'the American taxpayer an ownership stake in the company'. OSC's release does not mention equity, and neither the percentage nor the terms have been disclosed. Combining loans with equity has precedents in semiconductors and rare earths, but this is the first application to a drone maker, marking the point at which the government begins to back low-cost domestic drone mass production directly with capital.
